This webinar provides dentists with a roadmap for preparing for and successfully selling their practice while protecting value and minimizing disruptions. Whether selling to an independent buyer, DSO, or private equity group, attendees will learn how to strengthen financials, optimize operations, manage staff and patient communications and evaluate offers. The session will also cover valuation methods, deal structures, tax/legal considerations and best practices for a smooth transition.

Objectives

• Understand the current seller’s market and how independent buyers differ from DSO groups.
• Prepare their practice 6–18 months in advance by cleaning up financials, optimizing operations and addressing overhead.
• Evaluate insurance participation strategy and its impact on practice value and buyer interest.
• Strengthen team stability and facility appeal to maximize goodwill and patient retention.
• Understand EBITDA valuation principles and common pitfalls that reduce practice value.
• Compare and evaluate offer structures, including cash-at-close, earn-outs, equity rollovers and seller notes.
• Protect confidentiality throughout the process and manage staff/patient communications.
• Navigate key legal and tax considerations, including asset vs. stock sales, purchase price allocation and non-compete agreements.

Ms. Marie Chatterley is a dental broker for CTC Associates. She has been assisting dentists since 2003 with practice transitions, team building, marketing and practice management. She is the former President of the National Association of Practice Brokers, a member of the Dental Practice Valuation Study Club and a member of the International Business Brokers Association.
